Paid website service

Client Service Agreement

Last updated October 13, 2026

This Client Service Agreement ("Agreement") is the standard agreement for paid Little Shop of Webs website services. Little Shop of Webs is a division of RoveLogics LLC, an Oregon limited liability company ("Little Shop," "we," "us," or "our"). The client identified in the applicable checkout, proposal, or order summary is referred to as "you" or the "Client."

The short version: we build and manage the website described in your Order Summary, you provide the business content and timely approvals we need, recurring service renews until canceled, and we do not spring extra charges on you without discussing them first.

1. Agreement documents

This Agreement works together with the Order Summary shown to you before payment. The Order Summary identifies your selected plan, setup fee, recurring price, billing interval, included domain terms, approved add-ons, and any project-specific scope. Our Terms of Service, Acceptable Use Policy, and Privacy Policy also apply.

If there is a conflict, the Order Summary controls for project-specific scope and price, this Agreement controls the paid service relationship, and the Terms of Service control general use of Little Shop services.

2. Standard service

Unless the Order Summary says otherwise, Little Shop provides a custom small-business website, managed hosting, SSL, domain and DNS administration, platform and security maintenance, reasonable technical support, and simple owner controls for the routine content the finished site is designed to let you manage.

The exact website features depend on the project. A storefront, services page, gallery, contact flow, event list, simple booking connection, or other agreed functionality may be included when shown in the Order Summary or confirmed in writing.

3. What is not automatically included

The standard service is not an unlimited design or development retainer. Major redesigns, substantial new applications, custom integrations, specialized compliance work, premium or unusually expensive domains, paid third-party subscriptions, large data migrations, or other materially expanded work may require a separate quote or add-on. We will discuss additional charges before intentionally incurring them on your behalf.

4. Setup fee and when work starts

The applicable setup fee is shown before payment. The setup fee is refundable until Little Shop begins project-specific work. Once project-specific onboarding, design, configuration, domain work, or development has begun, the setup fee becomes non-refundable because it pays for work already underway.

5. Recurring service and automatic renewal

Managed website service is recurring. The Order Summary will clearly identify whether you selected monthly or annual billing and the amount that will recur.

  • Monthly plans renew each month until canceled.
  • Annual plans are prepaid and renew each year until canceled.

By accepting this Agreement and completing checkout, you authorize the recurring charges shown in the Order Summary. You may cancel future renewal at any time using the cancellation method made available in your client account or by contacting support@rovelogics.com.

Before an automatic renewal, Little Shop sends friendly reminder emails so the charge is not a surprise. Monthly plans are normally reminded about 7 days and 2 days before renewal. Annual plans are normally reminded about 30, 14, 7, and 2 days before renewal.

Reminder emails may include a “Yes, keep my site running” confirmation. That confirmation is optional because the plan is already set to renew automatically unless canceled. If you confirm a renewal, we stop the remaining reminder emails for that renewal cycle.

6. Cancellation and refunds

Cancellation stops the next renewal and does not retroactively erase a billing period that has already begun. Monthly service normally remains active through the end of the current paid month. Annual service normally remains active through the end of the current paid service year.

Recurring service charges are generally non-refundable once the applicable billing period has begun, except where required by law, where we expressly agree otherwise, or where Little Shop terminates paid service without cause before the end of a prepaid period. If we terminate without cause, we will refund the unused portion of prepaid recurring service.

7. Late or failed payment

If a recurring payment fails, we may retry the payment and contact you. We may suspend editing, support, or the public site after reasonable notice if an account remains unpaid. We will not intentionally hold your domain hostage because of an ordinary billing dispute, although registrar restrictions, unpaid third-party charges, or transfer rules may affect timing.

8. The first 60 days after launch

The first 60 days after initial launch are a launch-and-learn period. Reasonable small adjustments and modest feature refinements that help the site fit the real business are included. Examples can include reorganizing information, changing labels, refining an intake form, adding a simple content field, or making another small usability improvement.

This period is intentionally generous, but it is not unlimited redevelopment. A new store system, major third-party integration, full redesign, custom application, or other substantial expansion can be quoted separately.

9. Client responsibilities and delays

You agree to provide content, access, approvals, business details, and decisions reasonably needed to complete the website. You are responsible for reviewing information for accuracy and for having the rights to material you provide.

If the project is delayed because we are waiting on required Client materials or decisions, delivery dates may move accordingly. A delay caused by missing Client information does not convert completed work into refundable work.

10. Content, legal compliance, and business claims

You remain responsible for the legality and accuracy of your business operations, prices, professional credentials, product claims, policies, licenses, taxes, accessibility obligations specific to your business, and regulated disclosures. Little Shop can help implement content and technical features, but we are not acting as your lawyer, accountant, licensing board, or regulatory adviser.

11. Ownership of your content

You keep ownership of the business content you provide, including your name, logo, photos, product information, copy, and other materials you own. You give Little Shop permission to host, reproduce, resize, adapt, back up, and display that material as reasonably necessary to build and operate the website.

12. Portfolio and promotional use

You give Little Shop a nonexclusive, royalty-free permission to feature the public-facing website we create for you as an example of our work. We may use screenshots or recordings of publicly visible pages, your publicly displayed business name and logo, a link to the website, and a short description of the project in our website, portfolio, social media, sales materials, case studies, award submissions, or other promotional materials.

This permission does not transfer ownership of your business, brand, domain, or content to Little Shop. We will not use private admin areas, customer records, passwords, payment information, or other nonpublic or confidential material for portfolio or promotional purposes.

13. Domains

Your business domain is intended to remain yours. Little Shop may register, configure, renew, or administer a domain on your behalf when that is part of the service. Standard domain cost may be included when the Order Summary says so. Premium, aftermarket, specialty, or unusually expensive domains are not included unless specifically stated.

Registrar transfer locks, verification requirements, renewal windows, redemption fees, and other registrar rules are controlled by the registrar. If service ends, we will reasonably cooperate with transferring a Client-owned domain to you or your next provider.

14. Our platform and reusable work

RoveLogics LLC and its licensors retain ownership of Little Shop's platform, reusable code, templates, components, libraries, internal tools, workflows, methods, and general know-how. Your subscription pays for the website service and the right to use the finished managed site while service is active; it does not purchase our underlying platform.

Unless the Order Summary expressly includes source-code transfer, full source code or a transferable copy of the Little Shop platform is not part of the standard service.

15. Leaving Little Shop and handoff

If you leave, your business content and Client-owned domain remain yours. On request, we will provide a reasonable export or handoff of Client-provided content that is practically exportable and cooperate with domain transfer. We can also provide reasonable transition information to a new provider.

A new provider may need to rebuild parts of the site if they do not use the same platform or third-party services. Transition work beyond a reasonable standard handoff may be quoted separately.

16. Third-party services

Your website may rely on third-party providers such as domain registrars, email services, payment processors, booking tools, maps, social platforms, or other integrations. Their pricing, outages, account rules, product changes, and terms are outside Little Shop's control.

When a third-party account can reasonably remain in your name, we prefer that arrangement. Your own Square, Stripe, or other supported payment account remains yours, and Little Shop does not take a percentage of your customer sales merely because we built the website.

17. Support and maintenance

Managed service includes reasonable technical support for the Little Shop-hosted website and the functions we agreed to support. Routine content that your owner dashboard is designed to let you change is ordinarily self-service, though we can still help when something is confusing or broken.

We may perform maintenance, security updates, backups, platform changes, or infrastructure work when reasonably needed to keep the service operating.

18. Security and availability

We use reasonable safeguards and maintenance practices, but no hosting or internet service can guarantee perfect security or uninterrupted availability. Maintenance, upstream outages, attacks, internet failures, registrar issues, third-party failures, or events outside our reasonable control can affect the site.

19. Suspension and termination by Little Shop

We may suspend or terminate service for material nonpayment, fraud, serious security risk, unlawful activity, repeated material breach, or violation of the Acceptable Use Policy. When a problem can reasonably be fixed, we will ordinarily give notice and an opportunity to correct it before termination.

If we end service without Client breach or other cause, we will refund the unused portion of prepaid recurring service. Setup fees and fees for work already performed remain earned.

20. No guaranteed business result

We will build and operate the agreed website service, but we cannot guarantee sales, search-engine position, traffic, leads, conversion rate, social reach, or any particular business result.

21. Liability and indemnity

The liability limitations and indemnity provisions in the Terms of Service are incorporated into this Agreement. To the maximum extent permitted by law, our aggregate liability relating to the paid Little Shop service is limited as described there.

22. Changes to the service or this Agreement

We may improve or change the underlying service over time. If we materially change recurring prices or this Agreement in a way that materially affects an existing Client, we will provide reasonable advance notice. A price increase will not be applied retroactively to a billing period already paid.

23. Governing law and electronic acceptance

This Agreement is governed by Oregon law, subject to any non-waivable protections that apply where you live. Electronic acceptance, including checking an agreement box and completing checkout, is intended to have the same effect as signing a paper agreement.

24. Contact

Questions about this Agreement, cancellation, billing, or a handoff can be sent to support@rovelogics.com.
