Terms of Service
Last updated October 13, 2026These Terms of Service ("Terms") govern your use of the Little Shop of Webs website, application flow, client portal, self-service website builder, and managed website services. Little Shop of Webs is a division of RoveLogics LLC, an Oregon limited liability company ("Little Shop," "we," "us," or "our"). By creating an account, submitting an application with the required acceptance box, purchasing a self-service subscription, or otherwise agreeing to these Terms, you agree to them.
1. Who may use the service
You must be at least 18 years old and able to enter a binding agreement for yourself or the business you represent. If you act for a business, you represent that you have authority to bind that business.
2. Applications are not orders
Submitting a website application is a request for us to review the project. It does not guarantee acceptance, create a duty for us to begin work, or authorize us to charge you. Before paid work begins, we will confirm the project scope and any applicable service, setup, third-party, premium-domain, or other charges.
3. Service plans and scope
Our public site may describe Free Web, Tiny Web, Spun Web, recurring managed-website plans, setup charges, included support, and other features. Those descriptions are intended to explain the standard service. Your confirmed order, proposal, checkout, or written client agreement may include additional project-specific terms and controls if there is a conflict.
Free, Tiny, and Spun are self-service products with different feature limits. Features such as custom domains, page count, image/storage limits, forms, design controls, SEO controls, and branding options depend on the selected tier. Paid-only features may become unavailable after a downgrade or the end of a paid subscription. We may preserve compatible content for a reasonable period so an upgrade can restore it, but preservation is not a promise of indefinite archival.
Standard managed service may include hosting, SSL, domain/DNS management, technical maintenance, platform/security upkeep, client-facing owner controls, and basic technical support. The first 60 days after launch may include reasonable small adjustments as part of the launch-and-learn period. It is not an unlimited redesign, unlimited development retainer, or promise that every requested integration is included.
4. Pricing, renewals, cancellation, and refunds
An application is free unless we clearly say otherwise. Paid managed-website service is governed by the Client Service Agreement together with the specific checkout, proposal, or Order Summary presented before payment.
Paid self-service plans are governed by these Terms and the checkout summary presented before payment. Tiny Web is billed monthly at the price shown at checkout, and Spun Web is billed monthly at the price shown at checkout. A paid self-service subscription automatically renews each month until canceled. By confirming the recurring price and completing checkout, you authorize those recurring charges. You can cancel future renewal from your account; cancellation takes effect at the end of the current paid period unless applicable law requires otherwise. Charges for a paid period that has already begun are generally non-refundable.
If a paid self-service payment fails, we may retry the payment, place the site into a temporary grace period, and then freeze the public site if the account remains unpaid. A successful payment may automatically restore a site that was frozen for payment. We do not delete the site's content merely because a payment temporarily fails.
Premium domains, paid third-party services, unusually large new features, or other out-of-scope costs will be discussed before we intentionally incur them on your behalf.
5. Client responsibilities
You are responsible for providing reasonably accurate information, reviewing drafts and AI suggestions, responding to requests needed to complete work, protecting your account credentials, and keeping your business information current. You are also responsible for the legality and accuracy of your products, services, pricing, claims, policies, licenses, taxes, and customer-facing business practices.
6. Your content and intellectual property
You keep ownership of content you provide, including your business name, logos, photos, text, product information, and other materials you own. You give us a nonexclusive license to host, reproduce, resize, format, adapt, and display that content as reasonably needed to build, operate, support, back up, and hand off your website.
You also give Little Shop a nonexclusive, royalty-free permission to feature the public-facing website we create for you as an example of our work. This may include screenshots or recordings of publicly visible pages, your publicly displayed business name and logo, a link to the website, and a description of the work in our website, portfolio, social media, sales materials, case studies, award submissions, or other promotional materials. This permission does not transfer ownership of your content to us and does not allow us to disclose private admin areas, customer information, passwords, payment information, or other nonpublic or confidential material.
You represent that you have the rights and permissions needed for content you ask us to use. Please do not send us material copied from another business, photographer, designer, or website unless you have permission to use it.
7. Our tools and reusable work
Little Shop and its licensors retain ownership of our underlying platform, internal tools, reusable software, components, libraries, templates, methods, and general know-how. A managed website may depend on that infrastructure. Unless a separate written agreement specifically says otherwise, paying for a managed site does not transfer ownership of our platform or reusable source code.
Your business content and domain remain yours. If you leave Little Shop, we will reasonably cooperate with a proper domain and content handoff. The exact portability of custom software or third-party integrations may depend on the technology and licenses involved.
8. Domains and third-party services
We may help register, configure, or manage a domain for you. Premium domain prices, registrar rules, renewal fees, transfer locks, and third-party requirements are outside our control. When practical, the client should remain the beneficial owner of its domain even when we administer it. A Little Shop-provided platform subdomain is part of our service and is not a transferable domain name owned by you.
Sites may rely on third-party services such as domain registrars, hosting infrastructure, email providers, payment processors, maps, booking tools, or social platforms. Their services are subject to their own terms, availability, and pricing.
9. Payments on client websites
If your website accepts customer payments, the customer's transaction should be processed through your own supported payment-provider account. Little Shop does not take a percentage of your customer sales merely because we built or host the site, and we do not intend to store your customers' raw card numbers.
10. AI-assisted onboarding
The optional AI intake helper can turn typed or spoken descriptions into suggested form answers. It is a drafting convenience, not a decision-maker. AI suggestions can be incomplete or wrong, and you are responsible for reviewing them before submitting an application. Little Shop does not use the AI helper to automatically accept or reject applicants. See the AI & Voice Notice.
11. Acceptable use
You may not use Little Shop services for unlawful, fraudulent, deceptive, infringing, malicious, exploitative, or materially unsafe activity. Additional rules appear in our Acceptable Use Policy, which is incorporated into these Terms.
12. Availability, changes, and security
We work to keep self-service and managed sites available and secure, but no website, network, or third-party service is guaranteed to be uninterrupted or error-free. Maintenance, outages, security incidents, upstream provider failures, internet conditions, or events outside our control can affect availability.
13. Suspension or termination
We may refuse a project or suspend or terminate access when reasonably necessary for nonpayment, security, fraud, legal compliance, material breach of these Terms, or violation of the Acceptable Use Policy. When circumstances allow, we will try to give notice and an opportunity to fix a remediable problem.
If service ends, each side remains responsible for obligations that accrued before termination. Provisions that by their nature should survive, including ownership, payment obligations, disclaimers, limitations of liability, and dispute terms, continue after termination.
14. Disclaimers
To the maximum extent permitted by law, Little Shop services are provided on an "as available" basis. We do not promise that a website will produce any particular level of sales, traffic, search ranking, revenue, customer conversion, or business result. We are not your lawyer, accountant, tax adviser, licensing board, or regulatory consultant, and you remain responsible for laws and professional rules that apply to your business.
15. Limitation of liability
To the maximum extent permitted by law, Little Shop and RoveLogics LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, lost opportunities, or loss of data arising from the service. Our aggregate liability for a claim relating to paid Little Shop services will not exceed the fees you paid us for the affected service during the six months immediately before the event giving rise to the claim. These limits do not apply where applicable law does not permit the limitation.
16. Indemnity
You agree to defend and indemnify Little Shop and RoveLogics LLC from third-party claims arising from content or materials you provide, your products or services, your unlawful or infringing conduct, or your material violation of these Terms, except to the extent the claim was caused by our own unlawful conduct.
17. Governing law
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules. Any dispute not resolved informally will be brought in a state or federal court with lawful jurisdiction in Oregon, unless applicable law requires another forum.
18. Changes to these Terms
We may update these Terms as Little Shop changes. The date at the top identifies the current version. If a change materially affects an existing paid client's rights or obligations, we will provide reasonable notice when required and will not retroactively rewrite amounts already earned or obligations already completed.
